NHRRA CONSTITUTION REVEW

CONSTITUTION REVIEW UNDER INCORPORATED SOCIETIES ACT 2022

Purpose

The North Harbour Rugby Referees Association (NHRRA) Board has undertaken a review of the current NHRRA Constitution 2021 approved by Special General Meeting held on 19 April 2021.  The reason for this review is to ensure that the Association meets its obligations of the new Incorporated Societies Act 2022 by April 2026.

NHRRA Board Process

A Sub-Committee of the Board, Chairperson Kel Hartell, and Board Members David Dryden and Scott Rees, used the model constitution template for a sports club provided by Sport New Zealand Ihi Aotearoa and New Zealand Rugby’s version of the Sport NZ template.  This model template provided an updated version of Sport NZ’s constitution template, with the changes required under the new Incorporated Societies Act 2022, of which included critical changes of, not an exhaustive list:

  • Membership consent
  • Committee composition
  • Suspensions procedures
  • No personal benefit, Interest and conflict of interest
  • Bylaws including Integrity
  • General Meetings, specifically procedures for AGMs, SGMs and Committee meetings
  • Dispute resolution procedures

The Sub-Committee has used the Sports NZ Club Version B Constitution Template June 2024 version as the basis, with the NZ Rugby adjustments, for creating the new proposed 2025 Constitution for the Association.  Using this template the current Constitution Rules have been brought through to the Model, using the Model’s Clauses as the basis of the proposed Constitution and only add specifics for NHRRA from the current Constitution Rules.  Additions of Clauses content have been made where appropriate to ensure the proposed 2025 Constitution is fit for purpose and suitable for the future.

Once the proposed 2025 Constitution draft was completed by the Sub-Committee, it was presented to the Board at the January 2025 Board meeting.  The proposed 2025 Constitution was then provided to the Associations Honorary Solicitor for review and then presented back to the Board at the April Board meeting for ratification and calling of the Special General Meeting to adopt the proposed 2025 Constitution for the Association.
